These Terms and Conditions ("Terms") govern your access to and use of the Secret AI SEO website, mobile application, web platform, and all related services (collectively, the "Service").

Please read these Terms carefully before using our Service. By accessing or using Secret AI SEO, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, or using Secret AI SEO in any way — including visiting our website, using our mobile app, installing our JavaScript widget, or creating an account — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must not use the Service. Continued use of the Service after any changes to these Terms constitutes your acceptance of such changes.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service. By using Secret AI SEO, you represent and warrant that you meet this requirement.

2. Description of Service

Secret AI SEO is an AI-powered SEO analysis tool that provides the following services:

• SEO Analysis: Automated analysis of your website across 50+ SEO factors, including meta tags, structured data, image optimization, content quality, and technical SEO.
• JavaScript Widget: A server-hosted JavaScript widget that, once installed on your website via a single script tag, auto-injects SEO optimizations such as meta tags, Open Graph data, JSON-LD structured data, and image alt text.
• Mobile Application: A mobile app available for iOS and Android that allows you to run SEO analyses, view reports, and manage your account on the go.
• Web Platform: A web-based dashboard for managing analyses, viewing detailed reports, tracking SEO progress over time, and configuring your widget.
• AI-Generated Recommendations: Actionable SEO improvement suggestions powered by artificial intelligence, provided as guidance to help improve your website's search engine visibility.

The Service is provided on an ongoing basis and may be updated, modified, or expanded at our discretion.

3. Account Registration

To use certain features of Secret AI SEO, you may need to create an account. Our registration process includes:

• Device-Based Identification: We may identify your device using a unique device identifier to provide a seamless experience, particularly for our mobile application. This allows limited functionality without formal account creation.
• Email Registration: For full access to all features, including subscription management and widget configuration, you will need to register with a valid email address.
• Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at info@secretaiseo.com.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription Plans & Pricing

Secret AI SEO offers the following subscription plans:

All prices are quoted in Euros (EUR). Applicable Value Added Tax (VAT) or other local taxes may be added to the listed prices depending on your location and applicable tax regulations.

We reserve the right to modify our pricing at any time. Any price changes will be communicated to existing subscribers at least 30 days before taking effect and will not affect the current billing period.

5. Payment Terms

5.1 Payment Processing

All payments are securely processed through Stripe, a PCI-DSS compliant payment processor. We do not store your full credit card details on our servers. By making a purchase, you agree to Stripe's Terms of Service.

5.2 Auto-Renewal

Pro Monthly and Pro Yearly subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee at each renewal.

5.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at info@secretaiseo.com. Upon cancellation:

• Your subscription remains active until the end of the current billing period.
• You will not be charged for subsequent billing periods.
• Your SEO widget will cease to function at the end of the billing period.
• Your analysis reports and data will remain accessible for 30 days after the subscription ends.

5.4 Refund Policy

In accordance with EU consumer rights for digital services (Directive 2011/83/EU), you have a 14-day cooling-off period from the date of purchase during which you may request a full refund, provided you have not fully consumed the digital service.

• Refund requests must be submitted in writing to info@secretaiseo.com within 14 days of purchase.
• If you have used the Service (e.g., run an analysis or activated a widget) during the cooling-off period, we may deduct a proportionate amount for the services already consumed.
• Refunds for the Pro Lifetime plan are available within the 14-day cooling-off period only.
• Refunds will be processed to the original payment method within 14 business days.

6. Affiliate Program

Secret AI SEO offers an affiliate program that allows you to earn commissions by referring new customers. The program includes two tiers:

6.1 Standard Affiliate

• Commission: 20% recurring commission on all referred subscription payments.
• No setup fee.
• Available to all registered users.

6.2 Pro Affiliate

• Setup Fee: €200 one-time payment.
• Commission: 35% recurring commission on all referred subscription payments.
• Includes premium marketing materials and dedicated support.

6.3 Affiliate Payout Terms

• Affiliate payouts are processed via Stripe.
• Minimum payout threshold: €50. Commissions below this threshold will accumulate until the minimum is reached.
• Payouts are processed on a monthly basis.
• You are responsible for any taxes applicable to your affiliate earnings.

6.4 Terms of Promotion

• Affiliates must not use misleading, deceptive, or fraudulent promotional methods.
• Affiliates must not bid on Secret AI SEO branded keywords in paid search campaigns without prior written consent.
• Affiliates must not send unsolicited emails (spam) to promote Secret AI SEO.
• We reserve the right to terminate affiliate accounts and withhold commissions for violations of these terms.
• Self-referrals are not permitted.

7. Acceptable Use

You agree to use Secret AI SEO only for lawful purposes and in accordance with these Terms. You must not:

• Scraping & Abuse: Use automated tools, bots, or scripts to excessively access, scrape, or overload the Service beyond normal usage patterns.
• Malicious Use: Use the Service to harm, disrupt, or compromise the security of any website, server, or network, or to engage in any activity that violates applicable laws.
• Reselling: Resell, redistribute, or commercially exploit the Service or any part thereof without entering into an authorized affiliate agreement or obtaining prior written consent from us.
• Circumvention: Attempt to bypass, disable, or interfere with any security features, rate limits, or access controls of the Service.
• Impersonation: Misrepresent your identity or affiliation with any person or entity when using the Service.

Rate Limits: The Service enforces rate limits to ensure fair usage for all users. Exceeding these limits may result in temporary or permanent restriction of your access. Specific rate limits vary by subscription plan and are subject to change.

8. Intellectual Property

8.1 Our Intellectual Property

All intellectual property rights in the Service, including but not limited to the software, algorithms, AI models, website design, logos, trademarks, documentation, and all other materials (collectively, "Our IP"), are owned by or licensed to BESTLIVING MARBELLA S.L. and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of Our IP, nor may you reverse engineer or attempt to extract the source code of the Service, unless applicable law expressly permits such activities.

8.2 Your Content

You retain all rights to the content on your website(s) that you submit for analysis. By using the Service, you grant us a limited, non-exclusive license to access and analyze your website content solely for the purpose of providing the Service.

8.3 AI-Generated Recommendations

SEO recommendations, meta tags, structured data, and other outputs generated by our AI are provided as suggestions only. These recommendations are generated algorithmically and should be reviewed before implementation. You are solely responsible for the content that appears on your website, including any modifications made based on our recommendations.

9. Widget Usage

The Secret AI SEO JavaScript widget is subject to the following terms:

• Server-Hosted: The widget is served from our servers and requires an active internet connection to function. We strive to maintain high uptime but do not guarantee uninterrupted availability.
• No Tampering: You may not modify, reverse engineer, decompile, or tamper with the widget code. The widget must be used as provided, via the official script tag.
• Valid Subscription Required: The widget is active only while you maintain a valid Pro subscription (Monthly, Yearly, or Lifetime). If your subscription expires or is terminated, the widget will cease to inject SEO optimizations into your website.
• Single Website: Unless otherwise specified in your subscription plan, each widget instance is authorized for use on a single website domain.
• Performance: The widget is designed to be lightweight and non-intrusive. However, we are not responsible for any performance impacts on your website resulting from the widget's operation.

10. Data Processing

Your privacy is important to us. Our collection, use, and processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

We are committed to compliance with the General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679) and all applicable data protection laws. Key aspects of our data processing include:

Without limiting the foregoing, we specifically disclaim the following:

• No Guarantee of SEO Results: We do not guarantee that using Secret AI SEO will result in improved search engine rankings, increased website traffic, or any specific SEO outcomes. Search engine algorithms are controlled by third parties (e.g., Google) and are subject to change without notice.
• No Guarantee of Google Ranking Improvements: While our Service is designed to optimize your website according to current SEO best practices, we cannot guarantee any improvement in Google rankings or visibility in search results.
• Accuracy of Recommendations: AI-generated recommendations are based on algorithmic analysis and may not account for every factor relevant to your specific website or industry. Recommendations should be treated as suggestions and reviewed by qualified professionals where appropriate.
• Service Availability: We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Maximum Liability: Our total aggregate liability to you for any and all claims arising out of or related to the Service or these Terms shall not exceed the total fees you have paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Termination

13.1 Termination by You

You may terminate your account and stop using the Service at any time by cancelling your subscription through your account settings or by contacting us at info@secretaiseo.com.

13.2 Termination by Us

We may suspend or terminate your access to the Service immediately and without prior notice if:

• You breach any provision of these Terms.
• You engage in fraudulent, abusive, or illegal activity.
• Your use of the Service poses a security risk or adversely affects other users.
• We are required to do so by law or regulatory authority.

13.3 Effect of Termination

Upon termination of your account:

• Your right to access and use the Service will immediately cease.
• Your SEO widget will stop functioning and will no longer inject optimizations into your website.
• We will retain your analysis data and reports for 30 days, after which they may be permanently deleted.
• Any outstanding subscription fees remain due and payable.
• Any accrued affiliate commissions below the minimum payout threshold will be forfeited.
• Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property, limitation of liability, and governing law provisions.

14. Governing Law

These Terms and any disputes arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of Spain.

The exclusive jurisdiction for any legal proceedings relating to these Terms shall be the courts of Málaga, Spain, without prejudice to any mandatory consumer protection provisions that may apply in your country of residence.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at info@secretaiseo.com. We will make reasonable efforts to resolve any dispute within 30 days of receiving your written complaint.

15.2 Formal Proceedings

If a dispute cannot be resolved informally within 30 days, either party may initiate formal legal proceedings before the competent courts in Málaga, Spain, as specified in the Governing Law section above.

15.3 EU Online Dispute Resolution

If you are a consumer residing in the European Union, you may also submit your complaint through the EU Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr. This platform is provided by the European Commission to facilitate the resolution of disputes between consumers and traders in the EU.

16. Changes to Terms

We reserve the right to modify or update these Terms at any time. When we make material changes:

• We will provide at least 30 days' notice before the changes take effect.
• Notice will be provided via email to the address associated with your account and/or through a prominent notice on our website or within the application.
• Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent as closely as possible.
